Evaluation of financial part of corporate governance in bank within Anglo-Saxon model Оценка эффективности финансовой составляющей корпоративного управления в банке в рамках англо-саксонской модели

Abstract

The article studies the ways to minimize the costs associated with conflict of interest in the corporation within Anglo-American model. The financial component of corporate governance that stimulates corporate management to act in the interests of suppliers of financial resources is analyzed, namely the concentration of ownership, financial leverage, the market for corporate control, incentive contract of senior management and dividend policy of the corporation.В статье исследуются способы минимизации расходов, связанных с конфликтом интересов в корпорации в условиях англо-американской модели. Анализируется финансовая составляющая корпоративного управления, стимулирующая менеджмент корпорации действовать в интересах поставщиков финансовых ресурсов, а именно: концентрация собственности, финансовый рычаг, рынок корпоративного контроля, компенсационных пакет высшего менеджмента и дивидендная политика корпорации.
