Factors affecting the remuneration for the board of director: evidences from companies registered in
Abstract
The purpose of this research is to identify factors affecting the remuneration of the Board of directors (BOD). Based on the related theoretical and empirical studies, those factors include: (i) firm characteristics and (ii) characteristics of BOD. The research model is created by analyzing 80 companies listed on Ho Chi Minh Stock Exchange with 412 observations, period from 2006 to 2012. By Random Effects Model estimation, empirical results indicate that firm size, firm performance, board size and educational qualification of BOD positively impact on BOD’s remuneration. In contrast, debt ratio and ownership of BOD negatively associate with BOD’s remuneration. In additon, this research did not find any evidence for the relation between duality, independent members of BOD and the BOD’s remuneration.
