The article is aimed at forming structural transformations as a priority vector for development of the innovative potential of machine-building enterprises. The publication, upon the results of a carried out research, identifies that knowledge management has always been an integral part of quality strategic management. Enterprises must initiate innovative knowledge management projects to search ways to find, interpret, organize, spread and use the intellectually-creatively-innovative knowledge they have gained. It is proved that the innovative potential of machine-building enterprises includes not only the potential capabilities of an economic organizational system, but also the degree of attracting innovative technologies to their activities, as well as contributes to the growth of the the level of enterprises development. It is defined that the transfer of technologies is a strategically significant component of the innovative potential of a machine-building enterprise. Through the effective implementation of the technology transfer mechanism, machine-building enterprises will be able to step up the implementation and development of knowledge-intensive developments in the production activities and gain additional competitive advantages. The process of forming the transfer of technologies has been developed and a methodology of defining the process of innovativeness in domestic machine-building enterprises with the help of technology transfer has been proposed.
